Terms of Service

1. These terms and who they bind

These Terms of Service ("Terms") govern access to and use of the brainattic service and the brainattic.ai website (together, the "Service"), provided by Finite Software Systems Ltd. (ФИНИТ Софтуер Системс ЕООД), Company No. 175276896, VAT BG175276896, 4 Gorotzvet Street, Sofia, Bulgaria ("FSS", "we", "us").

The Service is offered to organisations ("Customer", "you") and the individuals they authorise to use it ("Authorised Users"). By accessing the Service, accepting these Terms during the connection flow, or permitting your Authorised Users to use it, you agree to these Terms. The Service is for business use by persons aged 18 or over; it is not offered to consumers or children. If you accept on behalf of an organisation, you warrant that you have authority to bind it.

2. The Service

brainattic is a multi-tenant knowledge-base service that your team and the AI agents you connect can read from and write to over the Model Context Protocol (MCP). It is offered through third-party AI platforms (for example, Claude and ChatGPT) as a connector/app, and directly via the web application. We may modify, improve, add, or remove features over time.

3. Pilot / beta and fees

The Service is currently offered as a free pilot. It is provided on an "as is" and "as available" basis, may contain limitations, and features may change or be withdrawn while in pilot. No fees apply during the pilot. We may introduce paid plans in future; we will communicate any commercial terms in advance, and continued use beyond the pilot may require a separate order or subscription.

4. Accounts and access

You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity by your Authorised Users, who authenticate individually. You must promptly notify us of any unauthorised access. You are responsible for ensuring your Authorised Users comply with these Terms.

5. Your content

As between the parties, you retain all rights in the content your organisation creates or uploads to the Service ("Customer Content"). You grant FSS a limited, non-exclusive, worldwide licence to host, store, process, transmit, index, and display Customer Content solely to provide, secure, maintain, and back up the Service. You are responsible for your Customer Content and for having the necessary rights and permissions for it, including for any personal data it contains (see §9).

6. Our intellectual property

FSS and its licensors own all rights in the Service — the platform, software, documentation, and the brainattic name, logo, and brand. Except for the limited right to use the Service under these Terms, no rights are granted to you. If you give us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction.

7. Acceptable use

You and your Authorised Users must not:

  • use the Service for anything unlawful, infringing, harmful, deceptive, or that violates the rights or privacy of others;
  • attempt to breach or probe security, gain unauthorised access, reverse engineer (except as permitted by mandatory law), or circumvent usage limits, tenant isolation, or any AI platform's safety guardrails or system instructions;
  • upload malware or use the Service to transmit harmful code, spam, or to overload or disrupt it;
  • use the Service to build a competing product, or resell it without our written agreement; or
  • violate the usage policies of the AI platforms through which brainattic is accessed — including Anthropic's Usage Policy, OpenAI's usage policies, and Mistral AI's Usage Policy — which apply to your use of brainattic through those platforms.

We may suspend or limit access (with notice where practicable) to address a security risk, a violation of this section, a legal requirement, or a threat to the Service or others.

8. Third-party services and AI platforms

brainattic is used through third-party AI clients (such as Claude, ChatGPT, or Mistral), and you may enable optional integrations (such as Slack, or SMS delivered via a mobile carrier). Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services, and your relationship with their providers is your own.

9. Data protection

Our processing of personal data is described in the Privacy Policy. Where we process personal data contained in Customer Content on your behalf, we do so as your processor under the Data Processing Agreement ("DPA"), which forms part of these Terms. You are the controller of such data and are responsible for your lawful basis for it and for the content you submit.

10. Confidentiality

Each party may receive the other's non-public information ("Confidential Information"). Each party will protect the other's Confidential Information with reasonable care and use it only to perform under these Terms. This does not apply to information that is or becomes public without breach, was already known, is independently developed, or must be disclosed by law (with notice where permitted).

11. Support and availability

During the pilot we provide reasonable-efforts support at support@brainattic.ai. We do not commit to any uptime or service-level guarantee, and the Service may be unavailable during maintenance or for reasons beyond our control.

12. Warranties and disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", and FSS disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that search results or AI-assisted outputs will be accurate or complete — you are responsible for reviewing results before relying on them. Nothing in this section limits warranties that cannot be excluded under mandatory Bulgarian or EU law.

13. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and
  • each party's total aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the fees you paid in the 12 months before the event giving rise to the claim, or (b) €100 (so, during the free pilot, €100).

These limits do not apply to liability that cannot be limited under applicable law — including for fraud or fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, and each party's respective liabilities under data-protection law as allocated in the DPA.

14. Indemnification

You will defend and indemnify FSS against third-party claims, and resulting losses, arising from your Customer Content or from your breach of these Terms, the acceptable-use section, or applicable law.

15. Term and termination

These Terms apply while you use the Service. During the pilot, either party may terminate at any time. On termination, your right to access the Service ends and your data is deleted in accordance with the retention periods in the Privacy Policy. Sections that by their nature should survive — including §§5–6, 9–10, 12–14, 18 — survive termination.

16. Changes to the Service and these Terms

We may modify the Service and these Terms. We will post the updated Terms with a new "last updated" date and, for material changes, give notice (e.g., by email or in the Service). Continued use after changes take effect constitutes acceptance; if you do not agree, you must stop using the Service.

17. Governing law and disputes

These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict-of-laws rules. The competent courts of Sofia, Bulgaria have exclusive jurisdiction, without prejudice to any mandatory rights you may have under applicable law.

18. General

These Terms, together with the Privacy Policy and the DPA, are the entire agreement between the parties regarding the Service and supersede prior discussions. We may assign these Terms to an affiliate or successor; you may not assign without our consent. No waiver is implied by delay. If any provision is unenforceable, the rest remains in effect. Neither party is liable for delays caused by events beyond its reasonable control. The parties are independent contractors. There are no third-party beneficiaries.
